Who you are: A seasoned attorney, with either in-house or firm experience, with a demonstrated interest in helping emerging companies thrive. You understand the value of providing a team-oriented approach in helping clients. You are smart, curious, and knowledgeable about your legal domain and you’re among the best in that space.
While we’ve provided a list below of the substantive areas where we want your help, we don’t expect any candidate to be a master of all. Rather, your legal domain is included below and our plan is to hire others who collectively can add their expertise, experience, and passion in growing our team to match the scaling needs of our emerging technology clients.
Licensing and IT
Prepare, negotiate, and revise software license agreements, SaaS agreements, and technology-enabled service agreements.
Review and advise on data security requirements, privacy policies, and evolving privacy law regimes in the U.S. and Europe.
Draft and negotiate business associate agreements.
Advise clients on security posture and policies in heavily regulated industries.
Know the ins and outs of copyright licensing, particularly as it pertains to software, to help protect our client’s IP, from their first ever license agreement to their investor due diligence to sale of their company.
Help enable clients to create new patented products through in-licensing, out?licensing, and joint collaboration agreements with some of the largest academic institutions and national laboratories in the US.
Prepare, negotiate, and revise distributor, sales representative, supply, manufacturing, and services agreements and related SOWs and order forms.
Prepare and review form purchase orders, terms and conditions, and terms of service.
Help clients create compensation plans that work for their sales and distribution teams, while remaining compliant with the Anti-Kickback statute, Stark, and medical device manufacturing requirements.
Negotiate with multi-national conglomerates, pharmaceutical companies, and some of the biggest companies in the country, as our clients negotiate to sell their offerings and collaborate with others to improve their offerings.
Prepare and review employee handbooks, consulting agreements, and employment documents, including confidentiality agreements, invention assignment agreements, non-competes, and separation agreements, for companies with growing remote workforces.
Prepare and edit corporate debt and equity finance transaction documents.
Understand the benefits of collaborative and alternative negotiation styles, and enjoy figuring out how to persuade with limited negotiating power.
This is a full-time position in our Madison office. Our office is paperless and equipped to allow us to work from anywhere. While we have a bias for Madison (c’mon, we’re consistently listed in the top 10 places in the US to live), we understand if you love it where you are.
